TERMS AND CONDITIONS OF SALE

Art. 1 - Object of the contract
With these General Conditions, R&D Components Srl sells to the Customer, who purchases at a distance, the tangible movable goods indicated and offered for sale on the Site (hereinafter the "Products"). The contract is concluded exclusively through the Internet, by the Customer placing a purchase order according to the procedure provided on the Site.

Art. 2 - Pre-contractual Information
The Customer, prior to the conclusion of the purchase, takes note of the characteristics of the goods that are illustrated in the individual cards of each Product and declares that he/she has been specifically informed, among other conditions, especially in relation to: I) the price of the Products with details of shipping costs, VAT and other taxes if applicable, and any other costs; II) payment methods; III) conditions, terms and procedures for exercising the right of withdrawal; IV) guarantees; V) applicable law and competent Court.
The placing of a purchase order implies full knowledge and express acceptance by the Customer of these General Terms and Conditions.
The Customer is obliged to check with the utmost care and attention the correctness of his data contained in the purchase confirmation and to notify R&D Components Srl, within and no later than the following 24 hours, of any corrections to the same.
The Customer, if a natural person, by placing an order through the Site, warrants that he or she has reached the age of majority (18 years) and has the legal capacity to enter into binding contracts.
It is in any case forbidden for the Customer to enter false, invented or fictitious names in the order procedure and in further communications to R&D Components Srl, which reserves the right to prosecute any violation and abuse.
The Customer must take particular care when filling in the order form as R&D Components Srl cannot be held liable in any way for data believed to be incorrect by the Customer, if such information was sent by the Customer.

Article 3 - Order
The Customer, who intends to proceed with the purchase of the Products, must express this will by means of a request made directly on the Site, in the section specifically dedicated thereto, where, following the procedures indicated therein, he/she will send his/her purchase order and make payment.
Personal data communicated for payment will be processed by R&D Components Srl in order to follow up on the order request and the relative invoicing, with the exception of data concerning payment of the amount for the goods purchased, which will be communicated directly to the electronic payment system made available by the banking institutions used by R&D Components Srl, to enable economic transactions.
Under no circumstances may R&D Components Srl be held liable for any fraudulent or improper use of credit cards or the like by third parties.

Art. 4 - Prices
Unless otherwise indicated in writing, all sales prices of the Products are expressed in Euro (excluding VAT and to be applied on the basis of the country of destination and on the basis of the relevant international regulations) net of the CONAI contribution and may be subject to updating.
The customer must ascertain the final sales price before submitting the relevant order form.
Shipping costs are not included in the price of the Products, but are calculated on the basis of the shipping method chosen by the Customer, the destination indicated by the Customer, the number of packages, and are indicated at the time of the order, when the data to estimate them are available.

Art. 5 - Payment Modalities
Payment can be made by credit card, bank transfer, immediate bank transfer, or via Paypal or other electronic payments.
Payment data and communications take place on specially protected lines and with all the guarantees provided by the use of the security protocols provided by electronic payment circuits.
In the case of payment by card, the charge will be applied at the time of purchase.

Art. 6 - Consumer's Right of Withdrawal and Return
R&D Components Srl recognises the right of withdrawal or return only in the case of defective goods or goods that do not meet the required quality. In such a circumstance an official complaint must be sent in writing within eight days of receipt of the goods to the following PEC address: rdcomponents@pec.it; if the complaint is valid and justified the purchaser has the right to a refund of the amount paid and reimbursement of transport costs or, if he/she so wishes, to replacement of the product provided it is not tampered with.

Art. 7 - Modalities of Delivery
R&D Components Srl will deliver the products purchased by the Customer through specialised and specially appointed carriers.
Delivery times are as stated in the order and may vary depending on the destination, type of product, amount and volume of goods.
Delivery times indicated on the site are understood to be working days.
R&D Components Srl shall not be responsible for delays caused by incorrect communication of addresses and other information necessary to make delivery of products.
Goods always travel on behalf of and at the risk of the purchaser. Therefore, R&D Components Srl is not liable for any deterioration, damage, delays, fines or other damages of any kind that may occur during transport.
Upon delivery of the Products to the Customer by the carrier entrusted with their transport, the Customer shall check, in the presence of the carrier, that
- the quantity and type of the Products ordered correspond to what is indicated in the transport document;
- the packaging used for transport is intact, undamaged or in any case altered, even if only in its sealing materials.
- the quantity and type of Products delivered correspond to what was ordered.
If the packaging shows obvious signs of tampering or alteration, the Customer must notify R&D Components Srl by PEC to rdcomponents@pec.it within the next 24 hours.
For each order placed on the site, R&D Components Srl will issue an invoice for the goods shipped, sent by e-mail.
In the event that the goods received are damaged, the Customer shall sign with specific reservation of control, indicating and explaining the damage on the delivery note of the carrier appointed for transport.

Article 8 - Warranty
8.1. Pursuant to Article 130 of the Consumer Code,
R&D Components Srl is liable, towards the Customer cd. In this case, the Customer has the right to restore, without charge, the conformity of the goods by repair or replacement, in accordance with paragraphs 3, 4, 5 and 6 of article 130 of the Consumer Code, or to an appropriate reduction in the price or termination of the sales contract, in accordance with paragraphs 7, 8 and 9 of article 130 of the Consumer Code. 130 of the Consumer Code: in this regard, R&D Components Srl notes that, pursuant to paragraph 10 of art. 130 of the Consumer Code, a minor conformity defect for which it was not possible or excessively burdensome to use the remedies of repair or replacement does not entitle the customer to terminate the contract.
8.2 Pursuant to Article 132 of the Consumer Code
R&D Components Srl is responsible for the case described in point 8.1 above. Where the conformity defect manifests itself within the term of 8 days from delivery of the goods: in this regard, R&D Components Srl also notes that, the Customer forfeits the rights provided for by art. 130 paragraph 2 of the Consumer Code if he does not report the conformity defect to the seller within the term of 8 days from the date he discovered it.
8.3 - In order to be able to benefit from the guarantee better explained in 8.1. and 8.2. above.
The Customer is obliged to provide the so-called proof of purchase as well as proof of actual delivery of the goods by R&D Components Srl.
8.4 - In the event that the Customer is a professional as defined in Art. 3 para. 1 lit. c) of the Consumer Code
has the right to avail itself of the so-called legal warranty provided for by the Italian Civil Code in force, which provides that the same is valid for the term of 1 year from delivery of the product, provided that, under penalty of forfeiture, the so-called professional Customer has reported the relative conformity defect within the term of 8 days from its discovery.
8.5 - The products offered for sale by R&D Components Srl on its website comply with current Italian national or Community legislation.
The images and colours of the goods offered for sale on the website of R&D Components Srl (www.rdc-service.it) is to be understood as indicative and illustrative, with the consequence that the Customer (whether so-called Consumer or so-called Professional) is required to refer exclusively to the characteristics described in the technical data sheet (if any) of the relevant product: therefore, any inaccuracies or differences of an insubstantial nature between what is represented on the website and the product delivered to the Customer shall not be considered a breach of contract.

Art. 9 - Applicable Law and Jurisdiction
The contract of sale concluded according to these General Terms and Conditions is concluded in Italy and governed by Italian law.
Any dispute relating to the interpretation, execution, validity of the contract of sale concluded by means of the Site shall be submitted to the exclusive jurisdiction of the Court of Monza, unless the Customer has acted and concluded this contract as a Consumer for purposes unrelated to the business.

Article 12 - Site content and intellectual property rights
The contents of the Site such as, but not limited to, works, images, photographs, dialogues, music, videos, documents, drawings, figures, logos and any other material published on the Site are protected by copyright and all other intellectual property rights of R&D Components Srl and other right holders.
Reproducing, modifying, duplicating, copying or otherwise exploiting the images and contents of the Site is forbidden unless previously authorised in writing by RAJA. Any use of the contents of the Site for commercial and/or advertising purposes is also forbidden.

Article 13 - Processing of personal data
Customer data is processed by R&D Components in accordance with the provisions of GDPR Regulation 2016/679 and applicable national legislation, as better specified in the Information Notice available in the Privacy section on the Site. R&D Components may make use of specialised companies for monitoring and possibly for payment management, which may act, as appropriate, as autonomous data controllers or as external data processors
